Attached for review are the clean and redlined versions of the new Field 
Services and Gas Purchase Agreements.  Also attached is a Termination 
agreement which terminates the existing agreements with Kennedy.  Please 
review.  

Dan,  Please make sure the Purchase Agreement pricing is accurate.
