ACN Energy Inc. is currently guaranteed by its parent American Communications Network, Inc., however Aquila Inc., currently has a business relationship with this counterparty and is willing to provide a guaranty in its favor.  
 
Kindly review the attached guaranty language and forward to Elden Condie at the listed email address for execution.  The amount of guarantee we will like to have is $1.5MM.  Kindly cc me on your comments.

Per our telcon, the attached document is the Corporate Guarantee that Aquila Inc. is offering on behalf of ACN Energy to provide credit support.  We propose replacing our parental guarantee from ACN Inc. with the Aquila guarantee.  This will allow us to have a larger credit line and increase our ability to purchase supplies from Enron.
