It is imperative that each of you participate and provide any and all input=

that you might have.  We are in discussions with a few potential buyers for=
=20
the New Albany plant and have agreed to try to reach a final agreement in t=
he=20
next two weeks.

Attached are the form of Purchase and Sale Agreement (in draft form) and th=
e=20
most recent version of the Schedules that are to be attached.  The purpose =
of=20
the meeting is to finalize the form of the Schedules.  Please peruse the=20
Schedules and make any changes that you feel are necessary (please error on=
=20
the side of over-disclosure).  Bring your notes, comments and/or thoughts t=
o=20
the meeting on Monday.  If you are unable to attend in person, please call =
