We would like to know if this language is appropriate to put into a Deemed 
ISDA.

2.            Initial Payment.   On or immediately after the Trade Date, ECT 
shall prepare, execute and send a Confirmation evidencing the terms of this 
Transaction to Counterparty for execution. Upon receipt of the Confirmation 
by Counterparty, Counterparty shall pay to ECT $1,007,000.00.
