Sara -
A couple of questions:  1)  for tax reps, are they a US or foreign entity? 
and 2) are they a financial institution (there are certain clauses in the 
Schedule to include/exclude for financial institutions)?

Stephanie to prepare draft ISDA based upon the following:  no CSA, bilateral 
cross-default at US$100million, no guaranties, add 1996 equity definitions 
and FX language, delete commodity definitions.
