We have received an executed Transfer and Termination Agreement effective a=
s=20
of October 1, 2000 (the "Effective Date") between Enron North America Corp.=
=20
(=01&ENA=018) and Sapient Energy Corporation ("Sapient").  Due to the merge=
r of=20
Falcon Creek Resources, Inc. ("Falcon") with and into Sapient, this Agreeme=
nt=20
transfers the outstanding trades between ENA and Falcon to Sapient.  The=20
Sapient Master Agreement dated as of July 27, 1999 shall govern all Falcon=
=20
transactions and the Falcon Master Agreement was termination as of the=20
above-referenced Effective Date. =20
